These Terms of Service ("Terms") govern your use of Jendever’s services. By engaging with our services, you agree to these Terms.

1. Services

Jendever provides email marketing services, including the setup and optimization of Klaviyo flow systems for ecommerce brands.

2. Performance-Based Engagements

For eligible clients, Jendever may offer a performance-based pricing model.

• No upfront payment is required for performance-based engagements
• You pay a commission on additional flow revenue generated above your agreed baseline
• The commission rate is agreed before the project begins and may vary depending on the business
• The commission period lasts for 90 days from the date the system is implemented and made live

3. Baseline and Measurement

Performance is measured using your Klaviyo account.

• Baseline is calculated using historical flow revenue data prior to implementation
• Performance is measured using Klaviyo attribution settings
• The same attribution settings used for the baseline must also be used to measure performance after implementation

4. Guarantee

If the implemented system does not outperform your baseline flow revenue during the agreed measurement period, you may be eligible for Jendever’s $5,000 guarantee.

The guarantee is based on fair like-for-like measurement. This includes use of the same attribution settings and reasonably comparable operating conditions during the evaluation period.

If there is a significant reduction in traffic, website activity, or other key inputs that materially affect flow performance, both parties will review the situation in good faith to assess the guarantee fairly.

Full guarantee details are confirmed before onboarding.

5. Client Responsibilities

To allow Jendever to deliver and measure results fairly, you agree to:

• Provide necessary access to your Klaviyo account and related systems
• Provide accurate and complete information required for setup and measurement
• Keep attribution settings consistent during the measurement period
• Coordinate with Jendever before making significant changes to the implemented flows
• Maintain normal business operations during the measurement period where reasonably possible

6. Changes and Pauses

If flows need to be paused or adjusted for a genuine business reason, such as stock issues or operational constraints, this should be mutually agreed in writing.

Where changes, pauses, or disruptions affect performance measurement, both parties agree to review the situation fairly and in good faith.

7. Term and Commitment

For performance-based engagements, the agreement applies for the full 90-day measurement period following implementation of the system.

Once the system has been delivered and made live, the agreed commercial terms remain in effect for that period unless otherwise agreed in writing by both parties.

8. Ownership

All systems, flows, and assets built by Jendever are implemented directly inside your Klaviyo account unless otherwise agreed.

After the 90-day performance period, you retain full ownership of everything created for your account.

9. Limitation of Liability

Jendever will provide services with reasonable care and skill.

Except where not permitted by law, Jendever is not liable for indirect, incidental, or consequential losses, including loss of profits, business interruption, or losses arising from factors outside Jendever’s control.

Nothing in these Terms limits liability where such limitation would be unlawful.

10. Governing Law

These Terms are governed by the laws of England and Wales.
